Event Details

Attendees will be made aware of the increasing need for multinationals, including those from the UK, to have effective compliance programs in place and the possible negative results of not having one, as well as the key elements in an effective program. Our speaker will also connect the topic to the relevant laws (and proposed laws) and issues for today’s UK-originating multinational corporations, making the presentation especially relevant for British Chamber of Commerce members.

The Presentation will cover:
- Increasing importance and the need for a compliance program, particularly in light of the sentencing on 25 September by the English courts of Mabey & Johnson for overseas corruption and the proposed Bribery Bill going through the UK Parliament. Mabey & Johnson were the first UK Corporate to be successfully prosecuted by the Serious Fraud Office for overseas corruption. They pleaded guilty and were ordered to pay fines, penalties and costs to the tune of GBP6.5m. The Bribery Bill represents a marked change in the laws dealing with corruption with a proposed new offence specifically aimed at corporates that fail to prevent bribes on their behalf.
- A brief review of the key elements in an effective compliance program:

About the speaker:
Mr. Martin has a wide portfolio addressing all aspects of a Corporate/Commercial practice including M&A, commercial contracts, corporate compliance and governance and general corporate advisory matters. He has been particularly involved in the drafting and negotiation of contractual documentation for cross-border joint ventures and mergers and acquisitions in the Asia-Pacific region.

His recent experience includes conducting a corporate governance audit on a 45/55 telecommunications joint venture between a large European multinational and the government of a South Asian state, providing comprehensive analysis and suggestions for improvement in the operation of the board, shareholder communications and certain internal systems and assisting on local aspects and US Foreign Corrupt Practices Act audits for regional HQ of large US multinationals with manufacturing and distribution operations across Asia-Pacific as well as providing training on local anti-corruption laws in Asia Pacific.
